Terms of Service

These Terms of Service ("Terms") govern your use of the Prova mobile applications (Customer and Merchant), website at www.prova.fyi, and related services (collectively, the "Service"). By using Prova, you agree to these Terms.

1. Eligibility

You must be at least 13 years old to use Prova. By creating an account, you represent that you meet this age requirement and that the information you provide is accurate.

2. Accounts

Customers create accounts by verifying their phone number via SMS one-time passcode. Merchants register with their email, password, and business details, and are subject to identity verification before their account is activated. Employees are invited by merchants and activate their accounts via an invite link.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

3. SMS/Text Messaging Terms

By using Prova, you consent to receive SMS text messages from us at the phone number you provide. These messages include:

Message frequency: Verification codes are sent only when you request them. Loyalty notifications are sent per qualifying purchase at a participating merchant.

Message and data rates may apply. Your mobile carrier's standard messaging and data rates apply. Prova does not charge for SMS messages, but your carrier may.

Opt-out: You may opt out of loyalty reward notifications at any time by replying STOP to any Prova SMS message. Opting out will not affect verification codes, which are sent only when you initiate a login. You may also email hello@prova.fyi to opt out.

Help: For assistance, reply HELP to any Prova SMS message or email hello@prova.fyi.

By providing your phone number at a merchant's point-of-sale terminal, you acknowledge that you may receive loyalty-related text messages from Prova on behalf of that merchant. Consent is not a condition of purchase.

5. Payments and Refunds

Payments for surprise bags are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. Prova charges a platform fee on each transaction, which is disclosed to the merchant during onboarding.

Refunds for surprise bag reservations are handled on a case-by-case basis. Customers may cancel a reservation before the pickup window for a full refund. Refund eligibility after the pickup window is at the merchant's discretion.

6. Offers and Loyalty Rewards

Offers and loyalty rewards are created and managed by individual merchants. Prova facilitates their distribution but is not responsible for the fulfillment of any offer or reward. Merchants may modify or discontinue offers and loyalty programs at their discretion.

Loyalty reward credits are non-transferable and have no cash value. They may only be redeemed at the issuing merchant's location.

7. Surprise Bags

Surprise bags contain a selection of food items at the merchant's discretion. The contents are not guaranteed and may vary. Prova does not guarantee the quality, quantity, or specific contents of any surprise bag. Allergen information and dietary accommodations are the responsibility of the merchant.

The Prova name, logo, app design, and website content are the property of Prova. Merchants retain ownership of their business content (images, descriptions, offers) uploaded to the platform. By uploading content, merchants grant Prova a non-exclusive license to display and distribute that content through the Service.

10. Account Termination

We may suspend or terminate your account if you violate these Terms or engage in conduct that we determine is harmful to other users, merchants, or the Service. Merchants may be banned following a review by our admin team. You may delete your account at any time through the app or by contacting hello@prova.fyi.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Prova does not guarantee that the Service will be uninterrupted, error-free, or secure. We do not endorse or guarantee any merchant, offer, or product available through the platform.

12. Limitation of Liability

To the maximum extent permitted by law, Prova shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to food quality issues, missed pickups, or merchant non-performance.

13. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a new "Last updated" date. Your continued use of Prova after changes are posted constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Dallas County, Texas.
